• "You", "your" refers to the wholesale customer or website visitor.
• "Products" means our sourdough breads and bakery items.
• "Website" means thebakersart.co.uk and all associated pages.
• "Wholesale Account" means a business account approved to purchase our products at wholesale prices.

By using our website you agree that:

• You will use the website only for lawful purposes.
• You will not attempt to gain unauthorised access to any part of the website.
• You will not use the website to transmit any harmful, offensive, or illegal content.
• You are responsible for maintaining the confidentiality of any account credentials.

We reserve the right to restrict or terminate access to the website at any time without notice.

4.1 Eligibility

Wholesale accounts are available to registered businesses only, including cafes, restaurants, delis, hotels, and market traders. We reserve the right to approve or decline any wholesale application at our discretion.

4.2 Placing Orders

• Orders must be placed by the agreed deadline (usually 48 hours before your delivery day).
• All orders are subject to availability.
• We will confirm your order by email or phone.
• We reserve the right to substitute products of equal or greater value if a product is unavailable.

4.3 Minimum Orders

Minimum order quantities apply and will be agreed at the time of account setup. We reserve the right to amend minimum order requirements with reasonable notice.

4.4 Pricing

• Wholesale prices are agreed at the time of account setup and confirmed in writing.
• All prices are exclusive of VAT unless otherwise stated.
• We reserve the right to adjust pricing with a minimum of 14 days written notice.

• Delivery is available to agreed postcodes within London.
• Delivery times are estimates only and may vary due to traffic, weather, or other factors.
• Risk in the products passes to you upon delivery.
• If you are not available to accept delivery, we will attempt to leave the order in a safe agreed location.
• We are not liable for any loss or damage to products once they have been delivered.

• Payment is due within 14 days of invoice unless otherwise agreed in writing.
• We accept payment by bank transfer (BACS). Details will be provided on your invoice.
• Late payment may result in suspension of your wholesale account.
• We reserve the right to charge interest on overdue invoices at 8% per annum above the Bank of England base rate.

Our products are made in a bakery environment that handles the following allergens:

• Gluten (wheat, rye, barley)
• Nuts (including walnuts)
• Sesame seeds
• May contain traces of other allergens.

Full allergen information is available on request. It is your responsibility as a wholesale customer to communicate allergen information to your end customers. We accept no liability for allergen-related incidents where accurate information has been provided to you.

Due to the perishable nature of our products:

• We do not accept returns of delivered products unless they are damaged or defective upon delivery.
• Any complaints regarding product quality must be reported within 24 hours of delivery with photographic evidence.
• Where a valid complaint is accepted, we will offer a replacement or credit note at our discretion.
• We do not issue cash refunds for perishable goods.

You may not reproduce, distribute, or use any of our content without prior written permission.

To the fullest extent permitted by law:

• We are not liable for any indirect, consequential, or loss of profit damages arising from your use of our products or website.
• Our total liability to you shall not exceed the value of the order giving rise to the claim.
• We are not liable for delays or failures caused by circumstances beyond our reasonable control (force majeure), including but not limited to extreme weather, supply shortages, or industrial action.

Either party may terminate a wholesale account with 14 days written notice. We reserve the right to terminate an account immediately in cases of:

• Non-payment of invoices
• Breach of these terms
• Conduct that is harmful to our business or reputation

These Terms and Conditions are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We reserve the right to update these Terms and Conditions at any time. Changes will be posted on our website and notified to active wholesale accounts by email. Continued use of our services after changes constitutes acceptance of the updated terms.
